Terms and Conditions for Cerulean Quill
Welcome to Cerulean Quill. These Terms and Conditions (“Terms”) govern your access to and use of our online platform and the luxury calligraphy and bespoke art services offered by Cerulean Quill. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
1. Services Offered
Cerulean Quill provides a range of bespoke services including, but not limited to:
- Onboard calligraphy workshops for luxury cruise lines.
- Personalized, hand-lettered cruise itineraries.
- Custom event invitations and stationery for cruise lines and private clients.
- Bespoke gift calligraphy for VIP guests and corporate clients.
- Corporate branding and identity development with calligraphic elements.
- Nautical-themed art commissions and artistic collaborations.
All services are subject to availability and the specific terms outlined in individual service agreements or proposals.
2. Intellectual Property Rights
All content, designs, artworks, calligraphy, and materials created or provided by Cerulean Quill, including but not limited to text, graphics, logos, images, and the compilation thereof, are the property of Cerulean Quill or its content suppliers and protected by international copyright laws.
Clients are granted a license to use the final deliverables for their intended purpose as specified in the service agreement. Any unauthorized reproduction, distribution, or modification of Cerulean Quill's intellectual property without express written consent is strictly prohibited.
3. Client Responsibilities
Clients engaging Cerulean Quill's services agree to:
- Provide accurate and complete information necessary for the execution of services.
- Adhere to agreed-upon timelines for feedback, approvals, and payments.
- Ensure that any materials provided to Cerulean Quill for use in projects do not infringe upon the intellectual property rights of third parties.
- Communicate any specific requirements or changes promptly and clearly.
4. Payment Terms
Payment terms for all services will be detailed in the individual service proposals or contracts. A deposit may be required before commencement of work, with the remaining balance due upon completion or as otherwise specified. All invoices are due within the period stated on the invoice. Late payments may incur additional charges as outlined in the service agreement.
5. Revisions and Cancellations
Specific details regarding revisions and cancellation policies will be provided in the service agreement for each project. Cerulean Quill reserves the right to charge for excessive revisions beyond the scope agreed upon. In the event of a client-initiated cancellation, a cancellation fee may apply, reflecting the work completed up to the point of cancellation.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Cerulean Quill shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use our services; (b) any conduct or content of any third party on our services; (c) any content obtained from our services; and (d) unauthorized access, use, or alteration of your transmissions or content.
7. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Singapore.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
